Well, I've neither tried Ubuntu under VMware, nor had to build network
drivers, but when I've needed to build other kernel modules under
Ubuntu, I've used apt-get to install what I've needed. It should look
after all the dependencies for you and get you out of deb package hell.
And right now, you're probably thinking "well, duh, how can I use
apt-get if I don't have a network driver?" A quick Google search shows
that others have been in the same boat (not too surprising), and the
advice is usually to get apt-get or aptitude to install from an Ubuntu
CD. So, burn yourself an Ubuntu CD if you don't have one already (you
may need the full Ubuntu CD, as the remix may not have all the packages
you need), and read a couple of these:

Hope this helps.
